1. Definitions and Interpretation

  • • "Report" means any data output generated from a vehicle search

1.3. Headings are for convenience only and do not affect interpretation.

3. Acceptance of Terms

3.1. By accessing or using the Website, you confirm that you have read, understood, and agree to be legally bound by these Terms.

3.2. If you do not agree, you must not use the Website or Services.

3.3. We may amend these Terms at any time by publishing an updated version on the Website.

3.4. Continued use of the Website constitutes acceptance of the updated Terms.

4. Description of Services

4.1. We provide vehicle history Reports generated using data obtained from third-party data providers.

4.2. Reports are generated based on data input by you, including:

  • (a) Vehicle Registration Number (VRN);
  • (b) Vehicle Identification Number (VIN).

4.3. Reports are delivered digitally and are made available immediately following successful payment.

4.4. We do not conduct any physical inspection of vehicles.

5. Data Sources and Disclaimer

5.1. All data within Reports is sourced from third-party providers.

5.2. We do not control or independently verify this data.

5.3. Accordingly, we do not warrant that Reports are:

  • (a) accurate;
  • (b) complete;
  • (c) current.

5.4. Reports are provided:

  • (a) "as is";
  • (b) without warranties of any kind;
  • (c) for general informational purposes only.

5.5. Reports do not constitute:

  • (a) mechanical advice;
  • (b) legal advice;
  • (c) financial advice.

5.6. You must not rely solely on a Report when making decisions regarding a vehicle.

5.7. Certain data is sourced under licence from third-party providers. Such data remains subject to third-party rights and restrictions.

5.8. Users obtain no ownership rights in any third-party sourced data contained in Reports.

6. User Obligations

6.1. You agree to use the Website lawfully and in accordance with these Terms.

6.2. You shall:

  • (a) provide accurate input data;
  • (b) use Reports for personal, non-commercial purposes unless agreed otherwise.

6.3. You shall not:

  • (a) reproduce, copy or distribute Reports;
  • (b) resell Reports;
  • (c) use bots, scrapers or automated tools;
  • (d) attempt to gain unauthorised access to systems;
  • (e) create, compile or contribute to any database, index, directory, lookup service or vehicle intelligence repository using the data contained in any Report;
  • (f) systematically store Reports for future commercial exploitation;
  • (g) make Provenance Data available to any third party without prior written consent.

6.4. Reports containing finance, write-off, theft, keeper, plate change or other provenance information may only be used for legitimate vehicle provenance assessment purposes.

6.5. Users must not use Reports for marketing, customer profiling, direct marketing activities, lead generation, tracing individuals, identity verification or any purpose unrelated to assessing a specific vehicle.

6.6. Users shall ensure any individual acting on their behalf complies with this clause.

7. Pricing and Payment

7.1. All prices are displayed on the Website prior to purchase.

7.2. All payments are processed securely via Stripe Payments Europe Ltd ("Stripe"), a third-party payment service provider.

7.3. By making a purchase, you acknowledge that:

  • (a) your payment details will be processed directly by Stripe;
  • (b) Stripe acts as an independent data controller in respect of payment data; and
  • (c) you may also be subject to Stripe's own terms and privacy policy.

7.4. We do not store or have access to your full payment card details.

7.5. A legally binding contract is formed when payment is successfully completed.

7.6. Reports are delivered immediately following payment.

8. Digital Content and Cancellation Rights

8.1. The Services constitute digital content supplied immediately after purchase.

8.2. By completing a purchase, you expressly:

  • (a) request immediate performance;
  • (b) acknowledge that delivery begins immediately;
  • (c) agree to waive your statutory 14-day cancellation right under the Consumer Contracts Regulations 2013.

8.3. Once a Report has been generated, it is non-refundable, except where required by law.

8.4. Where credits are purchased:

  • (a) unused credits may be refundable within 14 days;
  • (b) used credits are non-refundable.

9. Accounts

9.1. You may create an account on the Website.

9.2. You are responsible for maintaining the confidentiality of login credentials.

9.3. You are responsible for all activity under your account.

9.4. You may delete your account at any time.

9.5. We may suspend or terminate accounts that breach these Terms.

10. Data Protection

10.1. We process personal data in accordance with:

  • (a) UK GDPR;
  • (b) Data Protection Act 2018.

10.2. Personal data may include:

  • (a) email address;
  • (b) account information;
  • (c) transaction data.

10.3. Payment information is processed by Stripe Payments Europe Ltd in accordance with their privacy policy.

10.4. We do not intentionally process personal data relating to vehicle owners.

10.6. We are registered with the Information Commissioner's Office (ICO) and are committed to handling personal data in accordance with applicable data protection laws.

10.7. Reports containing provenance information must not be retained longer than is necessary for the purpose for which they were obtained.

10.8. Users must securely delete provenance information when it is no longer required.

11. Third-Party Services

11.1. The Services rely on third-party providers including:

  • (a) data providers;
  • (b) payment processors;
  • (c) hosting providers.

11.2. We shall not be liable for:

  • (a) inaccuracies in third-party data;
  • (b) service interruptions caused by third parties;
  • (c) changes to external databases.

12. Intellectual Property

12.1. All intellectual property rights in the Website and Services are owned by or licensed to us.

12.2. Reports are provided for personal use only.

12.3. You shall not:

  • (a) copy or distribute Reports;
  • (b) resell Reports;
  • (c) reverse engineer the Website or systems.

12.4. Consumers shall not be provided with the full Vehicle Identification Number (VIN). Where VIN information is displayed, only a masked version of the VIN may be shown. Full VIN disclosure is limited to verified trade customers whose business activities require such access and only where permitted by applicable law and supplier obligations.

13. Limitation of Liability

13.1. Nothing in these Terms excludes liability for:

  • (a) death or personal injury caused by negligence;
  • (b) fraud or fraudulent misrepresentation;
  • (c) any liability that cannot lawfully be excluded.

13.2. Subject to clause 13.1, we shall not be liable for:

  • (a) indirect or consequential loss;
  • (b) loss of profit or opportunity;
  • (c) losses arising from vehicle purchases.

13.3. Our total liability shall not exceed the amount paid by you for the relevant Report.

13.4. You acknowledge that Reports rely on third-party data and accuracy cannot be guaranteed.

14. Availability of Services

14.1. We do not guarantee uninterrupted access to the Website.

14.2. We may:

  • (a) suspend or withdraw Services;
  • (b) perform maintenance;
  • (c) modify functionality.

15. Termination

15.1. We may suspend or terminate access where:

  • (a) you breach these Terms;
  • (b) misuse or fraud is suspected.

15.2. Termination does not affect accrued rights.

16. Fraud and Misuse

16.1. You shall not use the Services for fraudulent or unlawful purposes.

16.2. We reserve the right to:

  • (a) monitor usage;
  • (b) cancel transactions;
  • (c) suspend access.

16.3. We may report unlawful activity to authorities.

16.4. Users shall notify Vinnly immediately upon becoming aware of any suspected unauthorised access, misuse, disclosure or loss of Report data.

16A. Compliance Audits

16A.1. We may request information reasonably necessary to verify compliance with these Terms.

16A.2. Business customers shall cooperate with reasonable compliance checks relating to use of Report data.

16A.3. Failure to cooperate may result in suspension or termination of access.

17. Automated Access

17.1. You shall not use automated means (including bots or scrapers) to access the Website.

17.2. Any such use constitutes a material breach of these Terms.

18. Business Use

18.1. Services are intended primarily for consumers.

18.2. Business users acknowledge:

  • (a) consumer protections may not apply;
  • (b) suitability for commercial use is not guaranteed.

18.3. Commercial use requires prior written agreement.

18.4. We may require documentary evidence regarding identity, business status, regulatory registrations or intended use before granting access to business features or enhanced vehicle data.

19. International Transfer Restriction

Third-party data provider prohibits exports of provenance data outside the UK without approval. Business customers must not transfer provenance data outside the United Kingdom without our prior written approval.

20. Force Majeure

We shall not be liable for any failure or delay caused by events beyond our reasonable control.

21. Severability

If any provision is held invalid, the remaining provisions shall remain in full force.

22. Entire Agreement

These Terms and associated policies constitute the entire agreement between you and us.

23. Governing Law and Jurisdiction

23.1. These Terms are governed by the laws of England and Wales.

23.2. The courts of England and Wales shall have exclusive jurisdiction.
